Terms of Service

Please read these terms carefully before using our services

1. Acceptance of Terms

By accessing and using the services provided by Soft Intelligence Corp. ('we', 'us', 'our'), including all software, applications, platforms, and websites (collectively, the 'Services'), you ('user', 'you', 'your') agree to be bound by these Terms of Service ('Terms').

If you do not agree to these Terms, you must not access or use our Services. Your continued use of the Services constitutes your acceptance of any changes to these Terms.

These Terms apply to all visitors, users, and others who access or use the Services, whether as a free user or a paid subscriber.

2. Description of Services

Soft Intelligence provides AI-powered productivity solutions, including but not limited to:

• Workforce management and collaboration tools • Resume building and career development platforms • Interview preparation and skills assessment • Project management and productivity tracking • Team communication and coordination systems • HR and recruitment management solutions

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. User Registration and Account Security

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Maintain the security of your password and account • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials. Soft Intelligence will not be liable for any losses arising from unauthorized use of your account.

We reserve the right to refuse registration or cancel accounts at our discretion, particularly if we believe you have violated these Terms.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations • Infringe upon or violate our intellectual property rights or the rights of others • Transmit any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content • Upload viruses, malware, or any other malicious code • Attempt to gain unauthorized access to our systems or networks • Interfere with or disrupt the Services or servers • Use the Services for any commercial purpose without our explicit permission • Impersonate any person or entity or misrepresent your affiliation • Harvest or collect information about other users without their consent • Use automated systems (bots, scrapers) to access the Services without permission

Violation of this policy may result in immediate termination of your account and legal action.

5. Subscription and Payment Terms

Soft Intelligence offers both free and paid subscription plans. By subscribing to a paid plan, you agree to:

Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are non-refundable except as expressly stated in our refund policy.

Payment Authorization: You authorize us to charge your provided payment method for all fees associated with your subscription. You must provide current, complete, and accurate billing information.

Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. We will charge your payment method on file for the renewal.

Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable notice of any price changes, and the changes will take effect at the start of your next billing cycle.

Taxes: You are responsible for all applicable taxes associated with your subscription, except for taxes based on our net income.

6. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that time.

Refunds: All subscription fees are non-refundable except in the following circumstances:

• If you cancel within 14 days of your initial subscription purchase, you may be eligible for a full refund • If we terminate your account for reasons other than violation of these Terms • As required by applicable law

To request a refund, contact our support team at hi@softintel.co with your account details and reason for the request. Refund requests are reviewed on a case-by-case basis.

Free Trial: We may offer free trial periods for certain subscription plans. At the end of the trial period, your account will be automatically charged unless you cancel before the trial expires.

7. Intellectual Property Rights

Ownership: All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, icons, images, audio clips, video, data compilations, and the compilation thereof (collectively, 'Content'), are owned by Soft Intelligence Corp., our licensors, or other content providers.

License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use only.

Restrictions: You may not:

• Copy, modify, distribute, sell, or lease any part of our Services or Content • Reverse engineer, decompile, or disassemble any software or technology • Remove or alter any copyright, trademark, or other proprietary notices • Use our trademarks, service marks, or trade names without prior written consent • Create derivative works based on the Services or Content

User Content: You retain ownership of any content you submit, upload, or create using our Services ('User Content'). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Services.

Feedback: If you provide us with any feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to you.

8. Privacy and Data Protection

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to our collection and use of your information as described in the Privacy Policy. We are committed to protecting your privacy and handling your data in accordance with applicable data protection laws, including GDPR and other relevant regulations.

Data Security: We implement reasonable security measures to protect your data from unauthorized access, alteration, disclosure, or destruction. However, no internet transmission is completely secure, and we cannot guarantee absolute security.

Data Retention: We retain your personal data for as long as necessary to provide the Services and fulfill the purposes outlined in our Privacy Policy, unless a longer retention period is required by law.

9. Third-Party Services and Links

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by Soft Intelligence. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

We may integrate with third-party services (such as payment processors, analytics providers, or communication tools) to provide functionality. Your use of such third-party services is subject to their respective terms and conditions.

You acknowledge and agree that Soft Intelligence shall not be responsible or liable for any damage or loss caused by or in connection with your use of any third-party services.

10. Disclaimers and Warranties

The Services are provided 'AS IS' and 'AS AVAILABLE' without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement • Warranties that the Services will be uninterrupted, error-free, or secure • Warranties regarding the accuracy, reliability, or completeness of any content or information

We do not warrant that:

• The Services will meet your specific requirements or expectations • Any errors or defects will be corrected • The Services will be available at all times or without interruption • The use of the Services will produce any particular results

You understand and agree that your use of the Services is at your sole risk, and you will be solely responsible for any damage to your device, loss of data, or other harm that results from such use.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Soft Intelligence Corp., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data • Loss of business opportunities • Business interruption • Loss of goodwill or reputation • Any other intangible losses

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of:

• The amount you paid to us in the twelve (12) months preceding the claim, or • One hundred US dollars ($100)

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Soft Intelligence Corp., its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Services • Your violation of these Terms • Your violation of any rights of another party • Your User Content or any content you submit • Any breach of your representations or warranties

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Termination

We reserve the right to terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms • Fraudulent, abusive, or illegal activity • Extended periods of inactivity • Request by law enforcement or government agencies • Technical or security issues

Upon termination:

• Your right to access and use the Services will immediately cease • We may delete your account and all associated data • You will remain liable for any outstanding fees or obligations • Provisions of these Terms that by their nature should survive termination will survive (including ownership provisions, warranty disclaimers, and limitations of liability)

You may terminate your account at any time by contacting us or through your account settings. Termination will not affect any rights or obligations that accrued before termination.

14. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Myanmar, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising out of or relating to these Terms or the Services shall be resolved through:

1. Informal Negotiation: We encourage you to contact us first at hi@softintel.co to resolve any disputes informally.

2. Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the Myanmar Arbitration Center. The arbitration will take place in Yangon, Myanmar, and will be conducted in English.

3. Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive the right to participate in class actions, class arbitrations, or representative actions.

Exceptions: Either party may seek injunctive relief in court for matters involving intellectual property rights, confidentiality obligations, or violations of these Terms that could cause irreparable harm.

If you are located in the European Union or other jurisdictions that do not allow arbitration clauses, you may have the right to bring disputes in court.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes to these Terms, we will:

• Post the updated Terms on this page • Update the 'Last Updated' date at the top of this page • Notify you via email or through a prominent notice on our Services

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services and terminate your account.

We encourage you to review these Terms periodically to stay informed about any changes.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Soft Intelligence regarding the Services.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to reflect the parties' intentions as closely as possible.

Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may freely assign these Terms and our rights and obligations without restriction.

No Agency: No agency, partnership, joint venture, employment, or franchisee relationship is created between you and Soft Intelligence by these Terms.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, labor disputes, or internet service provider failures.
